1. About these Terms
These Terms of Service ("Terms") govern access to and use of InstaAgent Internal Tooling (the "internal tooling" or the "Service"), an internal operations tool provided by InstaAgent Company Limited, an Instagram and Facebook marketing agency based in Hong Kong.
The Service is for internal use only by InstaAgent's authorised employees and contractors ("Staff"). It is not a public or consumer product, and no general public registration is offered. By accessing the Service, the user agrees to these Terms.
These Terms also describe the basis on which InstaAgent manages and publishes content to clients' Facebook Pages and Instagram Business accounts. Our clients' commercial relationship with InstaAgent is governed by their separate service agreement; these Terms supplement, and do not replace, that agreement.
2. Definitions
- "Client" — a business that engages InstaAgent and authorises us to manage its social-media presence.
- "Meta Platforms" — Facebook and Instagram, operated by Meta Platforms, Inc. and its affiliates.
- "Business Assets" — a Client's Facebook Page(s), Instagram Business account(s), and advertising account(s) shared with InstaAgent's Meta Business Manager (Business ID 529778033514936).
- "Platform Data" — data obtained from or through the Meta Platforms, as described in our Privacy Policy.
- "Content" — text, captions, images, video, and reference media created, uploaded, scheduled, or published through the Service.
3. Eligibility and accounts
3.1 Service accounts are issued only to authorised Staff. Each user is responsible for keeping their credentials confidential and for all activity under their account.
3.2 Users must notify InstaAgent immediately at hello@instaagent.com of any suspected unauthorised access or security incident.
3.3 We may suspend or revoke access at any time, including when a person's engagement with InstaAgent ends.
4. Authorised use and the Meta relationship
4.1 Staff use the Service to manage Client accounts; draft, review, schedule, and version Content; upload reference media; publish approved Content to Clients' Business Assets; and manage, monitor, and optimise advertising on those assets via the Meta Graph API.
4.2 Publishing is performed using a single Meta Business Manager System User access token. We do not use individual Facebook Login for end consumers.
4.3 Use of the Service in connection with the Meta Platforms is also subject to the Meta Platform Terms, Meta Developer Policies, the Facebook Community Standards, and the Instagram Community Guidelines. Staff must comply with these at all times. In the event of a conflict between these Terms and Meta's terms with respect to the Meta Platforms, Meta's terms govern that use.
4.4 We only access Business Assets that a Client has lawfully authorised and shared with our Meta Business Manager, and we only publish Content or run advertising that the Client (or its authorised representative) has approved through our agreed workflow.
5. Acceptable use
Users and Content must not:
- violate any applicable law, the Meta Platform Terms, or any third party's rights (including intellectual property, privacy, and publicity rights);
- publish content that is unlawful, deceptive, infringing, defamatory, or otherwise prohibited by the Meta Platforms;
- attempt to access Platform Data or accounts beyond the permissions granted, or circumvent the Service's access controls;
- misuse, scrape, resell, or transfer Platform Data other than as permitted by our Privacy Policy and the Meta Platform Terms;
- introduce malware, or interfere with or disrupt the Service or its infrastructure;
- use the Service other than for InstaAgent's legitimate agency business.
6. Content and intellectual property
6.1 Client Content. As between InstaAgent and a Client, Content created for that Client is handled per the Client's service agreement. Clients retain rights in their own brand assets and approved Content as set out in that agreement.
6.2 InstaAgent IP. The Service software, design, and underlying systems are owned by InstaAgent or its licensors. No rights in the Service are transferred to any user except the limited right to use it as authorised.
6.3 Responsibility for published Content. Staff are responsible for ensuring Content is accurate, approved, and compliant before it is scheduled or published to a Client's Business Assets.
7. Third-party services
The Service depends on third-party services, including the Meta Platforms. Those services are governed by their own terms, and their availability is outside our control. We are not responsible for outages, changes, or actions of these providers, including any change to Meta's APIs, policies, or app status.
8. Privacy and data protection
Our handling of personal data and Platform Data is described in our Privacy Policy at https://internal-docs.instaagent.com/privacy, which forms part of these Terms. Deletion of data is addressed in our User Data Deletion Instructions at https://internal-docs.instaagent.com/user-data. We process data in accordance with the Hong Kong Personal Data (Privacy) Ordinance and, where applicable, other relevant data-protection laws.
9. Service availability
The Service is provided on an "as available" basis. We may modify, suspend, or discontinue all or part of it, perform maintenance, or change features at any time. We aim to give reasonable notice of material changes affecting Staff workflows where practicable.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that publication to the Meta Platforms will always succeed, as this depends on Meta's systems and policies.
11. Limitation of liability
To the maximum extent permitted by law, InstaAgent and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business, arising out of or relating to the use of (or inability to use) the Service. Nothing in these Terms excludes liability that cannot lawfully be excluded. Liability between InstaAgent and a Client is governed by the Client's service agreement.
12. Indemnity
Each user agrees to indemnify and hold harmless InstaAgent from claims, losses, and expenses arising from the user's breach of these Terms, the Meta Platform Terms, or applicable law, or from Content the user creates, schedules, or publishes in breach of those obligations, to the extent permitted by law and subject to any applicable employment or contractor arrangements.
13. Suspension and termination
We may suspend or terminate access to the Service at any time, including for breach of these Terms, security reasons, or the end of a person's engagement. On termination, the right to use the Service ends. Provisions that by their nature should survive (including Sections 6, 8, 10, 11, 12, and 15) survive termination.
14. Changes to these Terms
We may update these Terms from time to time. The current version and its effective date are published at https://internal-docs.instaagent.com/terms. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles. The courts of Hong Kong have jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory law that applies.
